Tandem requires its suppliers to operate in accordance with the principles and requirements in this Code of Conduct, and in full compliance with all applicable laws, rules, regulations, and legally binding procedures, directives, and guidance applicable to each supplier’s operations and its employment and management of its employees and anyone else who works at such supplier’s facility.
Suppliers must conduct their business in an ethical manner and comply with all applicable legal and regulatory requirements and industry codes, including anti-bribery and anticorruption laws, competition and unfair business practice laws, restrictions on advertising activities, and any laws, regulations and codes that govern interactions with healthcare professionals, healthcare organizations and government officials. Additionally, Suppliers must always act with integrity and in an honest manner. Suppliers shall not engage in corruption, extortion, embezzlement, or bribery to obtain an unfair or improper advantage. Suppliers must abide by all applicable anti-corruption laws and regulations of the countries in which it operates, including the Foreign Corrupt Practices Act (FCPA) and applicable international anticorruption conventions. Any concern a supplier has regarding unethical conduct or a potential conflict of interest should be reported through compliance@tandemdiabetes.com or make a report (including anonymously) to Ethicspoint online or via phone at 855‑207‑2917.
Suppliers must inform Tandem of any actual or potential conflicts of interest that arise from business or personal relationships with Tandem employees, customers, suppliers, or competitors.
Suppliers must comply with applicable antitrust and competition laws that prohibit agreements between competitors that affect prices, costs, or terms or conditions of sale.
Suppliers must engage in and promote equal opportunities and must provide a workplace free of harassment and discrimination. To that end, suppliers shall not discriminate against any person based on age, disability, ethnicity, gender, marital status, national origin, political affiliation, race, religion, sexual orientation, gender identity, union membership, or any other status protected by applicable national or local law, in hiring and other employment practices. Suppliers shall not punish or retaliate against any employee or other person working at a supplier facility for reporting discriminatory practices.
Suppliers must ensure they have a workplace free of harassment and abuse. Supplier shall not threaten employees or any other person with, or subject them to, harsh or inhumane treatment, including, verbal abuse and harassment, psychological harassment, mental and physical coercion, and sexual harassment. Additionally, Suppliers must have a written policy against harassment and abuse that, at a minimum, includes a clear definition of sexual harassment, a statement prohibiting harassment and abuse consistent with this Code of Conduct, a description of how to report internal complaints/grievances regarding harassment and abusive behavior, and a statement regarding the policy of non-retaliation for persons reporting cases of harassment in good faith.
Worker health, safety, and well-being is important to Tandem. Suppliers must have and maintain a safe work environment that complies with all applicable laws and regulations related to workplace conditions and must integrate health and safety management practices into their business. Suppliers must permit workers the right to refuse unsafe work and to report unhealthy working conditions. Additionally, Suppliers must obtain, keep current, and comply with all required health and safety permits and must identify, evaluate, and manage occupational health and safety hazards through a prioritized process of hazard elimination, substitution, engineering controls, administrative controls, and/or personal protective equipment.
Suppliers must ensure that all work is voluntary. Suppliers shall not traffic persons or use any form of slave, forced, bonded, indentured, or prison labor. Involuntary labor includes the transportation, harboring, recruitment, transfer, receipt, or employment of persons by means of threat, force, coercion, abduction, fraud, or payments to any person having control over another person for the purpose of their exploitation. Supplier shall not withhold any person’s original government-issued identification or travel documents. Suppliers shall not impose unreasonable restrictions on movement within the workplace or upon entering or exiting company-provided facilities. Workers shall not be required to pay employers’ or their agents’ recruitment fees or other similar fees to obtain their employment.
Suppliers must comply with child labor laws and shall not employ any persons under the age of 15, the applicable minimum legal age for employment, or the age established for completing compulsory education, whichever is highest. If Suppliers use juvenile workers who are above the legal minimum age, such juveniles cannot perform work that might jeopardize their health, safety, or morals. Additionally, Suppliers shall not require juvenile workers to work overtime or perform nighttime work. Suppliers must use adequate and verifiable mechanisms for age verification as a part of their employment process.
Suppliers must follow all applicable laws and regulations with respect to working hours and days of rest. All overtime must be voluntary, and Supplier must keep accurate records regarding employee working hours and vacation hours as required by law.
Suppliers must pay all workers at least the minimum wage and provide any benefits required by law or contract and the pay structure cannot require workers to work more than the legally mandated regular hours to earn their base wage. Suppliers must compensate all workers for overtime hours at the legal premium rate. Suppliers must meet all legal requirements relating to wages and benefits, pay accurate wages in a timely manner, and shall not use wage deductions as a disciplinary measure. Additionally, suppliers shall not charge workers for anything required by the supplier for the worker to effectively carry out their job duties, including, personal protective equipment and uniforms (unless unreturned).
Suppliers must freely allow all workers' lawful rights to associate with others, form and join (or refrain from joining) organizations of their choice, and bargain collectively, without interference, discrimination, retaliation, or harassment. Where applicable laws and regulations substantially restrict freedom of association, Suppliers must allow alternative means for workers to individually and collectively engage with supplier, including processes for workers to express their grievances and protect their rights regarding working conditions and terms of employment.
Suppliers must operate in an environmentally responsible and efficient manner to minimize adverse impacts on the environment and must comply with all applicable environmental laws and regulations. Suppliers must be transparent in their environmental management practices and must embed environmental management principles into their operations. Suppliers should have systems in place to ensure the safe handling, movement, storage, recycling, reuse or management of waste, air emissions and wastewater discharges. Additionally, Tandem expects suppliers, where possible, to undertake initiatives to promote greater environmental responsibility, conserve natural resources, avoid the use of hazardous materials, encourage the development and diffusion of environmentally friendly technologies, and engage in activities that promote a circular economy approach. Suppliers must comply with all applicable environmental laws and regulations and must obtain all required environmental permits, licenses, and approvals and must comply with all applicable operational and reporting requirements.
Suppliers must exercise due diligence on materials in their supply chains. Suppliers must have due diligence policies and management systems to identify applicable risks and take appropriate steps to mitigate them, including performing due diligence to determine whether any materials originate from high-risk regions, which include areas associated with conflict, inappropriate child labor, forced labor and human trafficking, human rights violations, or other high-risk activities, like severe health and safety risks and negative environmental impacts.
Suppliers must track and report on the presence or use of conflict minerals in the parts, components, or materials supplied to Tandem.
Suppliers must safeguard and make only proper use of personal information to ensure that individuals’ privacy rights are protected, including those of Tandem’s customers, employees, and contractors, when performing work for Tandem. If Suppliers are contracted or engaged to obtain personal information on behalf of Tandem, they must do so in compliance with applicable law. Suppliers shall not use or disclose personal information or Tandem’s confidential/non-public information other than with Tandem’s express consent in writing. Suppliers must treat all information or data related to Tandem’s as Tandem’s confidential information unless that information is in the public domain.
Suppliers must respect intellectual property rights and safeguard customer information. Suppliers must manage technology and know-how in a manner that protects intellectual property rights.
Suppliers must maintain a security program in accordance with Tandem’s requirements, which include technical and organizational measures to prevent misuse, compromise, loss, alteration or unauthorized disclosure, acquisition of, or access to, confidential proprietary or protected information.
Suppliers must provide an anonymous complaint mechanism for managers and workers to report workplace grievances. Additionally, Suppliers must protect whistleblower confidentiality and prohibit retaliation. All workers must be encouraged to report concerns or illegal activities in their relationship with Tandem without threat of reprisal, retaliation, intimidation, discrimination, or harassment. Tandem suppliers must thoroughly investigate and take corrective action, if needed, in a timely manner.
Tandem holds its suppliers accountable to this Code of Conduct, and its standards. Suppliers must implement and maintain (as applicable) management systems and a governance structure that facilitate compliance with this Code of Conduct and all applicable laws, identify and mitigate related operational risks, and facilitate continuous improvement.
Suppliers must perform periodic evaluations/audits of its facilities and operations, and the facilities and operations of its subcontractors and sub-tier suppliers that provide goods or services to Tandem to ensure compliance with this Code of Conduct and applicable law. Suppliers shall not have manufacturing operations in, recruit labor from (directly or indirectly), or source materials, products, or services from, regions where Tandem or its designee cannot access and conduct an independent evaluation of compliance with this Code of Conduct.
Suppliers must maintain documentation necessary to demonstrate compliance with this Code of Conduct and compliance with applicable laws, regulations, rules, ordinances, permits, licenses, approvals, and orders.
Suppliers must develop and maintain training programs for its management and workers to facilitate proper implementation of its policies and procedures and to fulfill continuous improvement objectives. Suppliers must have a process for communicating clear and accurate information about their performance, practices, policies, and expectations to their workers, sub-tier supplier(s), and subcontractors. Additionally, Suppliers must maintain a process to obtain feedback related to this Code of Conduct and to foster continuous improvement.
Suppliers must have a process for timely correction of any deficiencies or violations identified by an audit (internal or external), assessment, inspection, investigation, or review.
Suppliers must maintain open communication with appropriate business functions at Tandem and must promptly notify Tandem of any changes and/or compliance issues with this Code of Conduct or breach of any specific requirement in this Code of Conduct.
